Equity Legal offers flat-fee acquisition packages for both sellers and buyers in small to lower middle-market transactions. These packages are designed to give clients clearer legal budgets, structured deal support, and a practical path from letter of intent through closing. Our acquisition packages are organized by transaction size and calibrated for standard deal complexity, with additional services available through clearly priced add-ons. For transactions with unusual complexity, multiple entities, significant diligence, financing layers, or specialized regulatory issues, Equity Legal may recommend a higher tier or custom engagement. Our packages typically save thousands over other firms and give sellers comfort from unexpected billing associated with hourly engagements.

TIER I
Business Acquisition
Essential Documents

• Initial structure and risk review call.
• Review of LOI, term sheet, or initial business terms.
• Drafting or revision of the principal purchase agreement.
• Standard buyer-side closing documents.
• Basic legal review of materials provided in diligence.
• Basic closing coordination with client and opposing counsel.

TIER II
Business Acquisition

• More active negotiation of principal and ancillary documents.
• Assistance with disclosure schedules.
• Drafting and negotiation of a moderate ancillary document set, such as restrictive covenants, transition services, escrow, or promissory note documents.
• More involved closing coordination.
• Up to 4 rounds of revisions on package documents.
TIER III
Business Acquisition
Comprehensive

• Everything in Tier II.
• Broader negotiation support from LOI through closing.
• Detailed disclosure schedule support.
• Expanded coordination with accountants, brokers, and deal participants as needed.
• Handling of a more substantial ancillary document set.
• Closing checklist management and more active process management.
• Up to 6 rounds of revisions on package documents.
Seller-side acquisition packages are built for business owners who want efficient, predictable legal support when selling a company, business line, or ownership interest. Whether the transaction is a straightforward exit or a more negotiated sale involving seller financing, escrows, or contingent consideration, our tiered seller packages are designed to match the size and complexity of the deal.​

Step 1: Intake and deal structure review.
Step 2: Negotiate or produce Letter of Intent.
Step 3: Produce seller-side document set.
Step 4: Subsequent revisions according to tier.
Step 5: Closing support in line with the selected tier.
Step 6: Signature package and closing coordination through the scheduled closing.

Tier I - Essential Seller Package
Flat fee: $9,500 | Transaction band: Transactions up to $1,000,000 | Typical fit: Simple seller-side deals with limited negotiations and a standard closing set.
Tier II - Standard Seller Package
Flat fee: $16,500 | Transaction band: Transactions from $1,000,001 to $5,000,000 | Typical fit: Negotiated seller-side deals with moderate diligence, ancillary documents, or deferred payment terms.
Tier III - Comprehensive Seller Package
Flat fee: $30,500 | Transaction band: Transactions from $5,000,001 to $10,000,000 | Typical fit: Lower middle-market seller transactions with more parties, more diligence, and more moving parts.

Unless included in the applicable tier, services outside the scope of the selected acquisition package—such as tax, securities, regulatory, litigation, environmental, real estate title, specialty diligence, and post-closing dispute matters—are not included and may require a separate fee.
