Equity Legal offers flat-fee acquisition packages for both sellers and buyers in small to lower middle-market transactions. These packages are designed to give clients clearer legal budgets, structured deal support, and a practical path from letter of intent through closing. Our acquisition packages are organized by transaction size and calibrated for standard deal complexity, with additional services available through clearly priced add-ons. For transactions with unusual complexity, multiple entities, significant diligence, financing layers, or specialized regulatory issues, Equity Legal may recommend a higher tier or custom engagement. Our packages typically save thousands over other firms and give buyers comfort from unexpected billing associated with hourly engagements.

TIER I
Business Acquisition
Essential Documents

• Review of LOI, term sheet, or initial business terms.
• Drafting or revision of the principal purchase agreement.

TIER II
Business Acquisition
Standard Package

• Expanded purchaser-side diligence support based on materials provided.
• Negotiation of indemnity, escrow, closing condition, and post-closing covenant provisions.
• Drafting and negotiation of a moderate ancillary document set, such as consulting, transition services, escrow, promissory note, or employment agreements.
• More involved closing coordination and deliverables review.
• Up to 4 rounds of revisions on package documents.
TIER III
Business Acquisition
Comprehensive
Package | $30,500
• Everything in Tier II.
• Broader negotiation of the principal purchase agreement from LOI through closing.
• Detailed issue-spotting on key diligence materials provided to counsel.
• Expanded handling of employment, consulting, transition services, note, escrow, and related ancillary documents.
• Closing checklist management and more substantial coordination with accountants, brokers, lenders, and other deal participants as needed.
• Up to 6 rounds of revisions on package documents.
Buyer-side acquisition packages are designed for buyers that want disciplined legal support, clearer risk allocation, and flat-fee predictability when evaluating and closing an acquisition. These packages are particularly useful for buyers seeking a structured alternative to open-ended hourly billing in small to lower middle-market transactions. The process generally is as follows:​

Step 1: Intake and deal structure review.
Step 2: Negotiate or produce Letter of Intent.
Step 3: First revisions of the lender-side document set.
Step 4: Subsequent revisions according to tier.
Step 5: Closing support in line with the selected tier.
Step 6: Signature package and closing coordination through the scheduled closing.

Tier I - Essential Buyer Package
Flat fee: $9,500 | Transaction band: Transactions up to $1,000,000 | Typical fit: Buyer-side deals using a relatively standard structure with limited diligence and a manageable closing process.
Tier II - Standard Buyer Package
Flat fee: $16,500 | Transaction band: Transactions from $1,000,001 to $5,000,000 | Typical fit: Buyer-side deals requiring more diligence, more ancillary documents, and more active negotiation of risk allocation.
Tier III - Comprehensive Buyer Package
Flat fee: $30,500 | Transaction band: Transactions from $5,000,001 to $10,000,000** | Typical fit: Complex buyer-side transactions with layered economics, broader diligence, and a more active closing process.

Unless included in the applicable tier, services outside the scope of the selected acquisition package—such as tax, securities, regulatory, litigation, environmental, real estate title, specialty diligence, and post-closing dispute matters—are not included and may require a separate fee.
** Transactions above $10,000,000 or buyer-side transactions with heavy diligence volume may require a custom quote.
